How GDV Engages Capital Partners

Our Investor Relations Philosophy

GDV Holdings' approach to investor relations mirrors the principles governing every dimension of the Group: discipline, transparency, and long-term orientation. The Group engages selectively with partners whose mandates and time horizons are genuinely aligned with its mission — building and scaling globally competitive platforms from the Philippines across outsourcing, financial services, compliance infrastructure, and enterprise technology.

This selectivity is deliberate. Capital misaligned with GDV Holdings' long-term value creation mandate — prioritizing short-term returns over governance integrity — is not what the Group seeks. For investors who share this orientation, GDV Holdings offers a structured, transparent engagement process with full access to documentation, management, and due diligence support.

Who We Engage With

GDV Holdings welcomes formal engagement with the following categories of qualified investors and strategic partners:

Institutional Investors

Institutional investors — including insurance companies, pension funds, endowments, and other large-scale capital allocators — seeking exposure to a disciplined, governance-aligned, Southeast Asian enterprise-building platform with diversified revenue streams across five operating verticals and six international markets.

Private Equity Firms

Private equity firms with mandates aligned to Southeast Asian growth markets, global services platforms, compliance infrastructure, or technology-enabled business services — and whose investment approach is compatible with GDV Holdings’ founder-led governance structure and long-term reinvestment orientation.

Sovereign Wealth Funds

Sovereign wealth funds seeking structured, long-term exposure to a Philippine-based enterprise group with active operations across the United States, Australia, the United Kingdom, Singapore, Indonesia, and the Philippines — and a governance framework designed to institutional standards.

Family Offices

Family offices with patient capital mandates and long-term value creation orientations that align with GDV Holdings’ founder-led philosophy — particularly those with existing interest in Southeast Asian markets, global services businesses, or enterprise-building investment platforms.

Strategic Corporate Partners

Strategic corporate partners whose operational capabilities, client networks, geographic presence, or sector expertise create genuine synergies with one or more of GDV Holdings’ five operating verticals — and whose engagement could accelerate the Group’s growth through commercial integration, joint venture structures, or strategic capital deployment.

What Investors Can Expect

GDV Holdings conducts all investor engagement under structured confidentiality and governance protocols. The Group's investor engagement process is designed to provide qualified partners with the information, access, and governance transparency needed to evaluate a capital partnership with confidence.

01

Initial Engagement

Qualified investors initiate engagement by submitting a formal expression of interest to investor@gdvholdings.com. The initial submission should include the investor’s name, organization, position, investor type, jurisdiction, intended investment size, and a statement of interest. This information allows GDV Holdings to assess alignment before committing management time to detailed engagement.

02

Investor Qualification Review

GDV Holdings conducts a structured investor qualification review for all prospective capital partners. This review assesses alignment between the investor’s mandate and GDV Holdings’ long-term value creation principles, governance framework, and capital partnership criteria. All discussions at this stage are conducted under structured confidentiality protocols.

03

Non-Disclosure Agreement

Qualified investors who proceed beyond the initial review stage are required to execute a Non-Disclosure Agreement before receiving access to confidential Group documentation, management accounts, or data room materials.

04

Data Room Access

GDV Holdings maintains a structured confidential data room for qualified investors. Available documentation includes corporate documents, historical financial statements, management accounts, regulatory registrations, organizational structure documentation, risk and compliance policies, operational performance metrics, and technology and security frameworks. Data room access is granted following investor qualification review and NDA execution.

05

Management Engagement

Qualified investors who have completed the data room review stage may request structured management engagement — including discussions with GDV Holdings’ executive leadership team comprising Founder and Chief Executive Officer Gerald Silva Valeros and Chief Financial Officer Daisy Jane Valeros — to address specific questions, discuss capital structure options, and explore the terms of a potential partnership.

Capital Partnership Structures

GDV Holdings offers flexibility in how capital partnerships are structured, with four investment structure options available for discussion with qualified partners: minority equity participation, preferred equity instruments, convertible instruments, and strategic joint ventures. All structure discussions are conducted under the Group's governance protocols and long-term value creation framework.

Current capital deployment focus areas include geographic expansion, AI and enterprise technology integration, strategic acquisitions, workforce scaling, and infrastructure development. Detailed information on each focus area and investment structure option is available through the Group's Capital Raise section and through the confidential data room for qualified investors.

What Qualified Partners Are Evaluating

The GDV Investment Case

For investors conducting due diligence on GDV Holdings as a capital partner, the Group presents a distinctive combination of characteristics that are rarely found together in a Southeast Asian enterprise group at this stage of development:

A diversified portfolio across five operating verticals — Outsourcing and Workforce Platforms, HR and Compliance Infrastructure, Financial Services, Technology and Innovation, and Enterprise Advisory — providing multiple revenue engines and reduced sector concentration risk.

Active operations serving clients across six international markets — the Philippines, the United States, Australia, the United Kingdom, Singapore, and Indonesia — providing geographic diversification and direct exposure to the world’s largest outsourcing and professional services demand markets.

A centralized governance framework enforced across all portfolio companies — covering audit and risk oversight, regulatory compliance alignment, ethical standards enforcement, data protection and information security, and capital allocation discipline — providing the institutional credibility and operational risk management that sophisticated capital partners require.

A founder-led ownership structure with direct executive accountability at both the CEO and CFO levels, ensuring long-term strategic alignment between the Group’s leadership and its capital partners.

A structured board architecture with four dedicated committees — the Audit and Risk Committee, the Governance and Compliance Committee, the Compensation and Remuneration Committee, and the Strategy and Investment Committee — providing independent governance oversight across all critical dimensions of the Group’s operations.
